To approve the following amendments to the Companys Bylaws, with the purpose of: (a) deleting paragraph 6 of article 5, since its provision is repeated in paragraphs 2 and 3 of article 6; (b) amending article 12 to provide for communication with the Company by e-mail, in line with the practice adopted by the Company; (c) simplifying the wording of article 14, paragraph 2, by replacing the individualized reference to certain internal policies with a generic reference to the Companys corporate policies; (d) amending article 18, paragraph 2, to provide for the calling of the members of the Board of Directors by e-mail, in line with the practice adopted by the Company; (e) amending article 19 to provide that the exercise of a directors vote, when cast in writing, be made by e-mail, in line with the practice adopted by the Company; (f) amending article 22 in order to simplify the composition of the Executive Board and adapt it to the Companys current organizational structure; (g) amending article 24, paragraph 2, to adapt the duties of the members of the Executive Board to the new composition set forth in article 22; and (h) amending article 30 with the purpose of adapting the composition of the People Committee to the practice effectively adopted by the Company. |

To approve the following acts relating to the Radar II Spin-off: (a) the "Private Instrument of Protocol and Justification of the Total Spin-off of Radar II Propriedades Agrícolas S.A. and Merger of the Spun-off Portions into Cosan S.A. and Mansilla Participações Ltda.", entered into on August 14, 2026, among the managements of Radar II, the Company and Mansilla ("Protocol and Justification”), which sets forth the terms and conditions that will govern the Radar II Spin-off, followed by the merger of the Spun-off Net Assets into the Company and Mansilla, in their respective proportions, its justifications and the criteria for the valuation of the Spun-off Net Assets; (b) the ratification of the appointment and engagement of PricewaterhouseCoopers Auditores Independentes Ltda., a partnership of professionals with offices in the city of Ribeirão Preto, State of São Paulo, at Rua Paschoal Bardaro, No. 1,075, 15th floor, Rooms 151 and 152, Subcondominium Avenue Le Monde, Jardim Botânico, Zipcode 14.021-655, enrolled with the National Register of Legal Entities of the Ministry of Finance under No. 61.562.112/0012-83, originally registered with the Regional Accounting Council of the State of São Paulo under No. 2SP027654/F-4, the specialized firm responsible for preparing the appraisal report of the book equity value of the Spun-off Net Assets ("Specialized Firm" and "Appraisal Report", respectively); (c) the Appraisal Report; and (d) the Radar II Spin-off. |
